Terms of Service

These Terms of Service govern your use of Precedent, operated by Atlas by Auro LLC, a Georgia limited liability company. By creating an account, browsing, or making a purchase, you agree to these terms.

Precedent is a marketplace where law students and recent graduates can sell their original study materials and application documents. Sellers must own or have the right to sell every document they list, and they must attest that their listing complies with their school's honor code and policies.

Buyers receive a license to use purchased materials for personal study. Reselling, redistributing, or posting purchased materials elsewhere is not allowed. We reserve the right to suspend or terminate accounts that violate these rules.

All prices are set by sellers. Precedent collects a platform fee from each sale. Sellers receive the remainder according to our payout schedule. We are not responsible for tax obligations arising from sales; sellers are responsible for reporting their own income.

We verify listings using transcripts, offer letters, or other documents. The original documents are deleted after verification; only the badge remains. We do not guarantee any particular grade, job outcome, or result from using any material on the site.

We may update these terms from time to time. If you continue to use Precedent after changes are posted, you accept the updated terms. For questions, contact us at support@meetprecedent.com.

Seller Terms

These Seller Terms apply in addition to the rest of this agreement whenever you list a document for sale on Precedent. By checking the confirmation box at submission, you agree to each of the following.

Original work and ownership

You warrant that you personally authored the material you are listing, or that you otherwise hold the rights necessary to sell it. You may not list content copied from a casebook, commercial outline, professor's slides or exam, another student's work, or any other source you did not create. If a listing incorporates limited quotations or references, you remain responsible for ensuring that use is lawful. Precedent may remove any listing we believe infringes another party's rights.

Personal information

Before uploading, you are responsible for removing personally identifying information from the file, including your own name and school email in document headers or footers where you do not want them shown, and, for outlines and shared class materials, any names, initials, emails, or identifying comments belonging to classmates, study group members, or professors. Application documents such as personal statements or resumes may reasonably contain your own identifying information; you are still responsible for what you choose to share.

Academic policies

You are solely responsible for compliance with your law school's honor code, student handbook, and any course-specific policies that govern the sharing or resale of course materials. Precedent does not review or interpret individual school policies on your behalf. If we receive a credible report, or otherwise become aware, that a listing violates the seller's school policies, we may remove the listing, disable the seller account, and withhold pending payouts while we investigate.

Verification documents

When you upload a transcript, offer letter, or similar document to earn a verification badge, that document is read one time for the purpose of extracting the specific fields we display, and is then deleted from our systems. We retain only the resulting badge and a minimal audit record. If we later determine that a verification was obtained through a misrepresented or altered document, we may revoke the badge, remove associated listings, and take further action on the account.
